Terms of Service

These Terms of Service ("Terms") govern your use of Fylio, a browser extension and related services operated by SAS Collabas, société par actions simplifiée au capital de 1 000,00 €, registered at RCS Narbonne under number 948 658 190, with registered office at 24 Résidence Le Trimaran, 11370 Leucate, France, TVA FR14948658190 ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

Fylio is a browser extension that helps stock photo contributors generate metadata (titles, descriptions, keywords, and categories) for their images using artificial intelligence. The Service works with Adobe Stock, Shutterstock, and Getty Images contributor platforms.

The Service includes:

  • AI-powered metadata generation via batch and turbo processing
  • Automatic form filling on supported stock contributor websites
  • Subscription-based access with different plan tiers

2. Eligibility

To use the Service, you must:

  • Be at least 16 years of age
  • Have a valid email address
  • Have the legal capacity to enter into a binding agreement

By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

3.1 Account Creation

You may create an account using your email address or by signing in with Google. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account

3.2 Account Security

You must notify us immediately at support@fylio.pro if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account.

4. Subscription Plans and Billing

4.1 Plan Tiers

We offer the following subscription plans:

  • Free — limited monthly credits at no cost
  • Light — expanded monthly credits
  • Pro — high-volume monthly credits

Plan details, pricing, and credit allocations are displayed in the extension and on our website at https://fylio.pro.

4.2 Billing

  • Paid subscriptions are billed monthly through Stripe.
  • Your subscription automatically renews at the end of each billing period unless canceled.
  • Unused monthly credits do not roll over to the next billing period.
  • Prices are listed in the currency displayed at checkout and may be subject to applicable taxes.

4.3 Add-On Credits

You may purchase additional credits ("add-on credits") as one-time purchases. Add-on credits do not expire at the end of a billing period and remain available until used or your account is deleted.

4.4 Free Trial

If we offer a free trial, you will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless canceled before the trial ends.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through the Stripe billing portal, accessible from the Fylio extension. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You retain access to paid features until the period ends
  • Your account reverts to the Free plan after the period ends

5.2 Refunds

  • Subscription fees: No prorated refunds for partial billing periods.
  • Add-on credits: Non-refundable once credits have been used. Unused add-on credits may be refunded within 14 days of purchase if no credits from the purchase have been consumed.
  • EU consumers: Under EU consumer protection law, you have a 14-day right of withdrawal for digital services that have not yet been fully performed. By using the Service immediately after purchase, you acknowledge that you may lose this right of withdrawal once the service has been fully performed.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload or process images that you do not have the right to use
  • Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Attempt to reverse engineer, decompile, or disassemble the extension or backend services
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated tools (bots, scrapers) to access the Service outside of normal extension functionality
  • Share your account credentials or allow others to access your account
  • Circumvent usage limits, quotas, or access controls

We reserve the right to suspend or terminate your account for violations of these terms.

7. Intellectual Property

7.1 Our Intellectual Property

The Fylio extension, its design, code, and branding are the property of SAS Collabas. You may not copy, modify, distribute, or create derivative works from our Service without written permission.

7.2 Your Content

You retain ownership of the images you process through the Service. By using the Service, you grant us a limited, temporary license to process your images solely for the purpose of generating metadata.

7.3 AI-Generated Metadata

  • The metadata (titles, descriptions, keywords, categories) generated by the Service is produced by artificial intelligence (OpenAI).
  • No guarantee of originality or copyright: AI-generated content may not be eligible for copyright protection in all jurisdictions. We make no representations regarding the copyright status of generated metadata.
  • No guarantee of accuracy: AI-generated metadata may contain errors, inaccuracies, or inappropriate content. You are solely responsible for reviewing and editing metadata before submitting it to stock platforms.
  • No guarantee of acceptance: We do not guarantee that metadata generated by the Service will be accepted by stock photo platforms (Adobe Stock, Shutterstock, Getty Images). Each platform has its own content guidelines and review processes.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • The AI-generated metadata will be accurate, complete, or suitable for any purpose
  • The Service will meet your specific requirements
  • Any defects will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAS COLLABAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or gross negligence.

10. Third-Party Services

The Service integrates with third-party platforms (Adobe Stock, Shutterstock, Getty Images) and services (OpenAI, Stripe). We are not responsible for:

  • The availability, accuracy, or policies of these third-party services
  • Any changes to third-party platforms that may affect the Service's functionality
  • Your interactions with or obligations to these third-party services

Your use of third-party services is subject to their respective terms and privacy policies.

11. Account Deletion

You may delete your account at any time using the "Delete My Account" option in the Fylio extension. Account deletion will:

  • Permanently remove all your data from our systems (account, batches, generated metadata, logs, custom prompts)
  • Cancel any active subscription immediately
  • Delete your Firebase authentication account

This action is irreversible. We recommend exporting your data before deleting your account.

12. Modifications to the Service and Terms

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect paid subscribers.

12.2 Terms Changes

We may update these Terms from time to time. For material changes, we will:

  • Provide at least 30 days' notice before the changes take effect
  • Notify you via the extension or email

Your continued use of the Service after updated Terms take effect constitutes acceptance. If you disagree with the changes, you may cancel your subscription and delete your account before the new Terms take effect.

13. Consumer Mediation

In accordance with Articles L.612-1 et seq. of the French Consumer Code, if you are a consumer residing in France or the European Union, you have the right to use a consumer mediator free of charge for the amicable resolution of any dispute with us.

Before contacting the mediator, you must first attempt to resolve the dispute directly with us by sending a written complaint to support@fylio.pro. If you receive an unsatisfactory response or no response within two (2) months, you may refer the matter to the competent consumer mediator:

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of France, unless otherwise required by applicable consumer protection laws that grant you the right to bring proceedings in your local courts.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
